1. Can 24*7 be configured to send an alert message on exit?
2. Can i run a 2nd instance of 24*7 locally to watch the first one so that it may send me ah alert when the first instance is no longer running?

I don't think so. But if you start it from a batch file, you can add some code to the batch to run after started 24x7.exe quits running. If you run Multi-platform Edition, that can be done in the master.bat file that is used to start the scheduler process.

You can have 24x7 run a job every 5 minutes (say). Have the job update a file so the system updates the file modification timestamp.
Have an independent process triggered from say Windows Scheduler, which runs every 10 minutes, to check the file has been updated in the last 10 minutes.
For reliability it's better to have the independent process running on a separate machine.
